Purchase Policy

This Purchase Policy applies to your transactions with Rockads, which refers collectively and/or individually to Rockads Corp (USA).

This Purchase Policy sets forth the payment conditions applicable to the Services provided by Rockads and forms an integral and inseparable part of the Terms of Service. Any breach of the provisions set forth in this Purchase Policy shall be deemed a breach of the Terms of Service and may result in suspension or termination of the Services in accordance with the Terms of Service. In the event of any inconsistency between this Purchase Policy and the Terms of Service in relation to payments, fees or refunds, this Purchase Policy shall prevail to the extent of such inconsistency.

Any capitalized term used but not otherwise defined in this Purchase Policy shall have the meaning ascribed to it in the Terms of Service.

1. Purchases and Payment Information

Rockads offers enhanced features of its Services for purchase as a monthly subscription fee and/or a daily fee, calculated based on your choice of Services, i.e. Rockads Lite Services or Rockads Pro Services (“Purchase”). A description of the features and pricing is available via our Services.

When you initiate a Purchase (each, a “Transaction”), we may request relevant Payment Information, including but not limited to bank account number and details; credit card number and expiration date; tax number; and full name and billing/delivery address(es).

You represent and warrant that you have the legal right to use any payment method you provide. The amounts due and payable will be presented to you before completing your Purchase. By proceeding with the Transaction, you authorize us to transmit your Payment Information to our payment service providers; agree to pay the applicable fees and taxes; accept that your credit card or account may be charged for verification, pre-authorization, and payment; and bear all additional charges levied by your provider, bank, or financial service.

Your order is not binding until confirmed by Rockads. Payments are non-transferable. A refund request may be made only for an unused and eligible balance and will be assessed in accordance with the Terms of Service and this Purchase Policy. No refund is unconditional, immediate or available for amounts already applied to advertising activity, Services, commissions, service fees, Taxes or Third-Party Platform Fees.

Refund Requests, Net Refund Calculation and Timing. Rockads may approve a refund only after receiving a written refund request and completing its verification and reconciliation procedures. The refundable amount is the net unused and eligible balance remaining in the User Account after deduction of: (i) advertising spend already incurred, committed, transferred to, charged by or otherwise attributable to the relevant Advertising Platform, including spend not yet finally reported or reconciled; (ii) the commission and service fee applicable under Rockads’ service model; and (iii) applicable Taxes and Third-Party Platform Fees. Digital Service Tax or a similar location-based or regulatory charge shall be deducted only where applicable and only to the extent reflected in a temporary hold, reserve or withholding under the Third-Party Advertising Platform Fees, Location Fees and Reconciliation Addendum. Any amount subject to such temporary hold, reserve or withholding is not refundable until the relevant hold has expired, been released or been finally reconciled in accordance with that Addendum. Following completion of the applicable verification and reconciliation steps, Rockads’ operational processing period is a minimum of three (3) Business Days. This period does not include any delay caused by Meta, another Advertising Platform, a payment provider, a financial institution, regulatory requirements or pending reconciliation. Approved refunds will be returned only to the verified original payment source, unless Applicable Laws require otherwise. Rockads may withhold, defer, set off or refuse a refund where reasonably necessary for fraud, sanctions, payment-source, chargeback, compliance or other verification, or where an amount is otherwise due to Rockads, an Advertising Platform, a payment provider or an authority, in each case to the extent permitted by Applicable Laws.

All payments are non-refundable, save only to the extent expressly provided in Section 6 (Refunds) of this Purchase Policy or as otherwise required by applicable law.

2. Pricing and Commission

All pricing and commission rates applicable to the Services shall be as separately agreed between the parties through a Rockads Private Terms or any other mutually acknowledged form of agreement, including but not limited to email correspondence. Such agreed terms shall be deemed an integral part of this Purchase Policy.

Rockads reserves the right to offset, adjust, or appropriate any amounts payable to or receivable from your account, including by way of deduction from your Balance (as defined in Section 6) or from any refund otherwise payable to you. In the event of any overdue payments, Rockads may suspend or terminate the Services at its sole discretion.

All payments are due in advance. Rockads may, at its sole discretion, apply interest at a rate of 5% per month on any overdue amounts.

3. Disputes and Chargebacks

If you have concerns about charges, you agree to first raise them directly with us before initiating any chargeback or reversal through your bank or provider. Unauthorized chargebacks may be treated as a breach of our Terms of Service.

Rockads reserves the right to cancel or decline your Transaction if the payment method is declined, the order is suspected to be fraudulent, or as deemed appropriate at our sole discretion. We may require additional verification to confirm your identity. If a Transaction is cancelled or not processed, you will either not be charged or will be refunded.

If Rockads is unable to collect payment through your designated method, all other Purchases under your account may be cancelled as well.

4. Permitted Payment Methods

Permitted payment methods include the following, in each case only as and to the extent made available by Rockads on the Rockads Platform or otherwise expressly confirmed by Rockads in writing from time to time: Bank transfer (including wire, EFT and SWIFT transfers), Credit and debit cards, PayPal, Stripe, Payoneer and any other payment option made available by Rockads from time to time.

You are solely responsible for any costs (including commissions or service fees) associated with your chosen payment method. Payments made through third-party payment service providers (including PayPal, Stripe, Payoneer etc.) are additionally subject to the terms, fees and processing times of the relevant provider and Rockads shall not be liable for any delay, hold, failure or reversal attributable to such provider. Rockads may, at its sole discretion and without prior notice, add, suspend, restrict or withdraw any payment method. Any payment option that is not displayed on the Rockads Platform shall be available to a User only upon Rockads’ express written confirmation and subject to such additional conditions (including verification and compliance requirements) as Rockads may specify.

5. Automatic Renewal & Cancellation

Daily commission fees are charged based on your advertising spend. No ad spend = no daily fee. Monthly subscriptions automatically renew unless cancelled. Charges will be made to your Payment Information unless cancelled in advance. To avoid renewal fees, cancel your subscription before the renewal date by contacting us at [email protected].

Cancellation prevents future renewal charges once effective in accordance with the applicable cancellation process, but does not reverse or refund any fees, advertising spend, commissions or Services already charged, accrued or incurred during the current billing period. Monthly subscription fees, ad-spend and daily commission fees are non-refundable in all cases. Any refund request relating to an unused and otherwise eligible Balance shall be governed exclusively by Section 6 (Refunds), including the applicable net refund calculation and refund process.

6. Refunds

6.1 Balance. Amounts pre-funded by you and credited to your User Account for the purpose of using the Services (your “Balance”) constitute a prepayment for Services. Balance is non-transferable, does not bear interest and may not be redeemed for cash, except as expressly provided in this Section 6.

6.2 Refund Request. You may request a refund of your unspent Balance by written notice to Rockads at [email protected] or through your designated account manager. A request shall be deemed received only once Rockads has confirmed receipt of a complete request, including any verification information reasonably required by Rockads.

6.3 Net Refundable Amount. Any refund shall be calculated exclusively on the net amount remaining in your Balance at the time Rockads processes the request, after deduction of:

• all advertising spend incurred, delivered, committed or otherwise realised through the Advertising Accounts, including any spend reported, reconciled, adjusted or invoiced by the relevant Advertising Platform after the date of your request in respect of activity occurring before the refund is processed (“Realised Ad Spend”);
• all commission, platform and service fees accrued or payable to Rockads under the applicable service model, as agreed in the Rockads Private Terms, the applicable insertion order or otherwise, including commission calculated on the Realised Ad Spend and any accrued monthly subscription fees;
• Digital Services Tax and any other Taxes applicable to the Realised Ad Spend, the Services or the refund itself;
• any bank, payment-processing, payment service provider or currency-conversion charges incurred in connection with the original payment or the refund; and
• any other amounts due and payable by you to Rockads, including overdue amounts, interest, chargeback and dispute costs, which Rockads may set off in accordance with Section 2.

The amount remaining after such deductions constitutes the “Net Refundable Amount”. Where the deductions equal or exceed your Balance, no refund shall be payable and you shall remain liable to Rockads for any shortfall.

6.4 Non-Refundable Items. For the avoidance of doubt, the following are non-refundable in all cases: (a) Realised Ad Spend; (b) monthly subscription fees, daily commission fees and any other fees once charged or accrued; (c) Taxes; (d) any bonus, promotional, top-up or other credits granted by Rockads free of charge; and (e) any Balance which Rockads is entitled to withhold, freeze, retain or forfeit under the Terms of Service, including in cases of suspected fraud, chargebacks, breach of the Terms of Service or of the policies of any Advertising Platform, or where an Advertising Account has been restricted, suspended or disabled by the relevant Advertising Platform.

6.5 Processing Time. Refund processing depends on the reconciliation, confirmation and approval procedures of the relevant Advertising Platform (including Meta). Accordingly, Rockads shall not process any refund earlier than five (5) Business Days following receipt of a complete request in accordance with Section 6.2, and the actual processing time may be longer depending on the response times of the relevant Advertising Platform, payment service provider or bank. Rockads shall not be liable for any delay attributable to such third parties and may suspend or delay any refund until identity, fraud and compliance verifications have been completed and all pending advertising spend has been finally reconciled by the relevant Advertising Platform. “Business Day” means a day (other than a Saturday, Sunday or public holiday) on which banks are open for general business in the jurisdiction of the relevant Rockads entity.

6.6 Method and Currency. Refunds shall be made only to the original payment method and source account from which the relevant payment was received, in the currency in which the Balance is held. Where a currency conversion is required, the exchange rate applied by Rockads’ bank or payment service provider on the processing date shall apply, and Rockads shall not be liable for any exchange-rate difference or third-party charges. No refund shall be made in cash or to any third party.

6.7 Effect of Refund. Upon approval of a refund request covering your entire Balance, Rockads may deactivate, suspend or withdraw your access to the Advertising Accounts made available to you and may terminate the Services. Rockads may, at its sole discretion, accept or decline requests for a partial refund of Balance.

6.8 Calculation. Rockads’ calculation of Realised Ad Spend, fees, Taxes and the Net Refundable Amount, based on its own records and the records of the relevant Advertising Platform, shall be final and binding save in the case of manifest error. Nothing in this Section 6 limits any right of Rockads under the Terms of Service to withhold, retain or forfeit any Balance.

7. Pricing Changes

Rockads reserves the right to update its pricing. Any changes will be communicated in advance and apply only to future renewals. If you disagree, you may opt not to renew your Purchase.

8. No Reliance on Future Features

You agree that your Purchase is not made in reliance on any potential or advertised future features, upgrades, or performance improvements unless explicitly stated.
