ROCKADS PRIVATE TERMS

This Rockads Private Terms ("Private Terms") is made and entered into by and between the undersigned client ("User") and Rockads, acting through the relevant Rockads entity as defined in the Rockads Terms of Services.

This Private Terms sets forth the commercial terms applicable to the Services provided by Rockads and is subject to the Terms of Services, Privacy Notice, Purchase Policy, and any other agreement executed between Rockads and the User and/or any policies accepted by the User via the Rockads Platform (collectively, the “Rockads Terms”), all of which are hereby incorporated by reference and deemed accepted upon the signing of this Private Terms.

For the purposes of this Private Terms:

1. “Terms of Services” refers to the terms available at https://rockads.com/en/terms-of-service-of-rockads;
2. “Privacy Notice” refers to the policy available at https://rockads.com/en/privacy-notice; and;
3. “Purchase Policy” refers to the policy available at https://rockads.com/en/purchase-policy;

each of which may be unilaterally amended by Rockads from time to time.

In the event of any conflict between this Private Terms and the Rockads Terms, the Rockads Terms shall prevail unless these Private Terms expressly provides otherwise.

1. PAYMENT TERMS
   1. All amounts must be pre-funded by the User.
   2. Without limiting the rights of Rockads under Clause 7 of the Terms of Services, Rockads reserves the right to unilaterally modify any fees, commissions, or other financial terms offered or agreed with the User, without requiring any prior notification, approval or consent from the User, in case of (i) a change in the fee structure, policy, or pricing of the relevant Advertising Platform; and/or (ii) the User's failure to fulfill its spending commitments or declared usage volumes.
   3. Fees are non-refundable.
   4. All prices are exclusive of Taxes and other applicable taxes unless stated otherwise.
   5. Payments shall be made to the designated Rockads account via bank transfer, card, or other approved payment instruments.
2. REFERENCE TO TERMS
   1. By signing this Private Terms, the User acknowledges and agrees that:
      1. The Rockads Terms shall govern this Private Terms and all Services provided hereunder;
      2. This Private Terms does not amend or replace the Rockads Terms unless explicitly stated;
      3. Capitalized terms not defined herein shall have the meanings set forth in the Rockads Terms;
      4. Any breach of the Rockads Terms shall entitle Rockads to suspend or terminate this Private Terms without liability.
